These Terms of Service ("Terms") govern access to and use of the website, platform, authentication services, and related offerings provided by Semantic OS, Inc., a Delaware C-Corporation ("Semantic OS," "we," "us," or "our").
By accessing or using the Semantic OS website, authentication systems, or any product or service that relies on Semantic OS for identity, authorization, or infrastructure, you agree to be bound by these Terms. If you do not agree, you may not access or use the platform.
1. Platform Role & Scope
Semantic OS operates as a parent platform and organizational layer that provides:
- User authentication and identity management (including OAuth)
- Account, organization, and workspace management
- Authorization, permissions, and access controls
- Shared infrastructure and services for first-party products
Products operated by Semantic OS may include, but are not limited to:
- SEO Pipeline
- Campaign Pipeline
- Other current or future Semantic OS products
Individual products may publish supplemental terms, which apply in addition to these Terms.
2. Eligibility & Authority
You must be at least 18 years old to use the platform.
If you use the platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Accounts & Authentication
3.1 Account Creation
You must provide accurate, current, and complete information when creating an account and keep that information updated.
3.2 OAuth & Identity Providers
Semantic OS may act as an OAuth provider or intermediary, including for third-party identity providers such as Google.
By authenticating, you authorize Semantic OS to:
- Verify your identity
- Manage authentication tokens and sessions
- Associate authorized data, permissions, and workspaces with your account
- Enable access to connected products and services
3.3 Account Responsibility
You are responsible for:
- All activity conducted under your account
- Maintaining the security of credentials
- Ensuring invited users are authorized to access associated data and workspaces
4. Third-Party Services & Data Authorization
You may connect third-party services or data sources to the platform.
By doing so, you represent and warrant that:
- You have lawful authority to access and authorize such data
- Your use complies with all applicable third-party terms and policies
- You have obtained any required permissions or consents
Semantic OS does not verify ownership or authorization of third-party accounts and is not responsible for unauthorized access resulting from credentials or permissions you provide.
5. Acceptable Use
You agree not to:
- Violate applicable laws or regulations
- Infringe intellectual property or proprietary rights
- Misrepresent authorization to access data
- Circumvent security or access controls
- Interfere with platform stability or performance
- Use the platform for deceptive, abusive, or harmful purposes
We reserve the right to suspend or terminate access for violations.
6. Customer Data
You retain ownership of data you submit to the platform.
By using the services, you grant Semantic OS a limited, non-exclusive, worldwide license to host, store, process, analyze, and transform such data solely to provide, maintain, secure, and improve the platform and its products.
7. Intellectual Property
All software, interfaces, designs, branding, and content provided by Semantic OS are owned by Semantic OS or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform solely for its intended purposes. No ownership rights are transferred.
8. Automated Processing & AI Outputs
Certain features of the platform rely on automated systems, machine learning models, or artificial intelligence.
Outputs may be incomplete, inaccurate, or subject to change. Semantic OS does not guarantee the accuracy, completeness, or reliability of automated outputs and disclaims reliance on such outputs as the sole basis for business or operational decisions.
9. No Professional Advice
Information, insights, and recommendations provided through the platform are for informational and analytical purposes only and do not constitute legal, financial, marketing, or professional advice.
You are solely responsible for decisions made based on platform output.
10. Third-Party Data Reliability & Service Availability
Semantic OS relies on third-party services, infrastructure providers, APIs, data sources, and integrations to operate the platform and deliver functionality.
Semantic OS does not control and is not responsible for the accuracy, availability, completeness, or reliability of data provided by third-party services or external sources.
Semantic OS does not guarantee uptime, uninterrupted availability, or error-free operation of the platform. Service availability may be impacted by third-party outages, maintenance, network issues, API limitations, or other factors outside of our control.
The platform is provided on an "as available" basis, and temporary interruptions or performance issues do not constitute a breach of these Terms.
11. Suspension & Termination
We may suspend or terminate access:
- For violations of these Terms
- To comply with legal obligations
- To protect the security or integrity of the platform
You may discontinue use at any time.
12. Disclaimers
The platform is provided "as is" and "as available."
To the fullest extent permitted by law, Semantic OS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Semantic OS shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, profits, or business opportunities.
14. Indemnification
You agree to indemnify and hold harmless Semantic OS from any claims, damages, liabilities, losses, and expenses arising from:
- Your use of the platform
- Your violation of these Terms
- Your unauthorized access to or use of third-party data
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
